This Agreement pertains to Users falling under distinct categories

Sellers Individuals or entities creating communities and showcasing catalogues, listing goods or services for sale on the Floww Digital India platform.

Customers Individuals or entities purchasing goods or services or joining communities run by sellers or Floww on the Floww Digital India platform.

3. Acceptance of Terms

By accessing or using the Floww Digital India platform, Users agree to abide by the terms and conditions set forth in this Agreement.

Users acknowledge that their utilization of the platform constitutes acceptance of all terms and conditions herein.

4. Services Offered

Floww Digital India facilitates a platform for sellers to showcase and vend goods or services, and for customers to explore and acquire items.

5. User Obligations

Sellers commit to compliance with pertinent laws, provision of accurate product information, and prompt order fulfillment. Customers pledge to provide accurate information, ensure timely payments, and adhere to seller policies and terms of sale.

6. Intellectual Property Rights

Users recognize that all content, trademarks, and intellectual property showcased on the Floww Digital India platform belong to Floww Digital India or its licensors.

7. Privacy and Data Security

Sellers commit to compliance with pertinent laws, provision of accurate product information, and prompt order fulfillment. Customers pledge to provide accurate information, ensure timely payments, and adhere to seller policies and terms of sale.

8. Dispute Resolution

Disputes between Users and Floww Digital India shall be resolved as outlined in the dispute resolution procedures within this Agreement.

9. Modification of Terms

Floww Digital India retains the right to modify, amend, or update the terms and conditions of this Agreement at its discretion. Users will receive notification of any changes, and continued use of the platform indicates acceptance of the revised terms.

10. Termination of Agreement

Floww Digital India reserves the right to terminate this Agreement or suspend User's platform access for violations of the terms herein or any other justifiable reason.

By accessing or using the Floww Digital India platform, Users acknowledge that they have read, understood, and agreed to all terms and conditions outlined in this Agreement.

Detailed Terms and Conditions for Sellers

1. Registration Consent

Sellers must register on the Floww app only after fully understanding and agreeing to Floww's terms and conditions. Any disputes thereafter may not be considered by the governing body.

2. Community and Product Listing

Sellers have the option to create communities, set up stores, and list products on the Floww app, as long as they follow the guidelines provided within the app and in this agreement.

3. Compliance with Community Guidelines

Sellers must follow the community guidelines outlined in this agreement when creating and managing communities on Floww.

4. Delivery Preference Consent

Floww offers sellers the choice to handle delivery charges themselves or opt for Floww's digital management services. By using the app, sellers agree to their chosen preference. Any conflicts will be resolved based on this choice.

5. Indemnification

Sellers agree to compensate Floww for any losses incurred during the selling process. Failure to do so may result in the termination of Floww services for the seller.

6. Illegal Actions

Any illegal actions related to creating stores or selling products within communities will lead to the termination of services. Sellers agree to compensate Floww for any resulting losses and waive the right to take legal action against Floww, its platform, employees, or directors.

7. Judicial Cases

Legal matters will be handled at Floww's discretion. Sellers agree to abide by Floww's decisions in legal matters.

8. Changes to Terms

Floww reserves the right to update its terms and conditions. Sellers are responsible for staying informed about any changes.

9. Service Termination

Floww may stop or suspend services to sellers at any time. Sellers agree to compensate Floww for any resulting losses.

10. Customer Chatroom Indemnification

Sellers and community owners indemnify customers from any harm or legal issues arising from interactions within community chat rooms.

11. Intellectual Property and Data Sharing

All intellectual properties and customer data belong to Floww. Sellers cannot hold Floww responsible for any data sharing.

12. Payment Processing

Sellers must comply with the payment processing terms and conditions set forth by the e-commerce platform, including providing accurate payment and banking information.

13. Product Compliance

Sellers must ensure that all products listed on the platform comply with applicable laws and regulations, including product safety standards and labeling requirements

14. Customer Communication

Sellers are responsible for communicating with customers promptly and professionally regarding order status, shipping updates, and any customer inquiries or concerns.

15. Return and Refund Policies

Sellers must adhere to the e-commerce platform's return and refund policies, including processing returns and issuing refunds in accordance with the platform's guidelines.

16. Data Privacy and Security

Sellers must protect customer data and adhere to the platform's data privacy and security policies, including safeguarding customer information and preventing unauthorized access or data breaches.

17. Prohibited Activities

Sellers must refrain from engaging in prohibited activities, such as selling counterfeit or unauthorized goods, engaging in deceptive or fraudulent practices, or violating intellectual property rights.

18. Customer Reviews and Ratings

Sellers must respect and respond to customer reviews and ratings in a timely and professional manner, addressing any concerns or feedback raised by customers courteously and constructively.

19. Platform Fees and Charges

Sellers may be subject to platform fees and charges for using the e-commerce platform's services, including listing fees, transaction fees, and other applicable charges.

20. Termination of Services

The e-commerce platform reserves the right to terminate or suspend services to sellers for violations of the platform's terms and conditions, including noncompliance with policies, fraudulent activities, or other breaches of trust.

Payment Settlement Terms and Conditions

1. Payment Frequency

Floww shall settle payments to Sellers on a weekly basis.

2. Payment Timeline

Weekly payments shall be made within 15 days of the payment due date of the last week.

3. Consolidated Amount

The consolidated amount shall be displayed in the Seller's account after reconciling return/cancel orders.

4. Payment Method

Payments shall be made directly to the Seller's bank account.

5. Dispute Resolution

Any disputes regarding the settlement amount must be raised via email to sellerpayments@floww.in or through our Seller Support number within 7 days of the payment date. Failure to do so shall be deemed as acceptance of the settlement amount.

6. Governing Law

These Payment Settlement Terms and Conditions shall be governed by and construed in accordance with the laws of Noida, Uttar Pradesh.

7. Limitation of Liability

Floww shall not be liable for any damages, losses, or expenses arising from payment delays, errors, or disputes.

8. Indemnification

Sellers agree to indemnify and hold Floww harmless against any claims, demands, or expenses arising from payment disputes or errors.

9. Amendments

Floww reserves the right to modify these Payment Settlement Terms and Conditions at any time without prior notice.

10. Acceptance

By participating in the Floww platform, Sellers acknowledge and accept these Payment Settlement Terms and Conditions.

Communities should be created solely for ethical purposes and to promote your business and products responsibly.

Ensure that the community aligns with the values and objectives of your business.

2. Community Purpose

Define the purpose of your community based on your business category. Whether it's for product discussions, customer support, or brand engagement, ensure that the community's focus remains relevant to your business.

3. Content Restrictions

Prohibit the creation or promotion of communities that engage in political, social activities, government criticism, or individual criticism. Such content is not permitted on Floww.

Any violation of these restrictions may result in strict legal action, and the business/owners may be barred from creating communities on the platform.

4. Language and Behavior

Ensure that all communication within the community chatroom is respectful and free of abusive language.

Any behavior that causes mental harm to consumers will be considered a punishable offense and may result in disciplinary action.

5. Adherence to Laws and Humanitarian Behavior

Adhere to strict constitutional and accepted humanitarian behavior within the community.

Respect all applicable laws and regulations, ensuring that community activities do not violate any legal provisions.

6. Product Promotion

Prohibit the promotion or sale of illegal products within the community.

Endorsement of illegal products, banned products, adulterated products, software, or any other items prohibited by government authorities is strictly prohibited.

7. Government Regulations

Ensure compliance with government regulations regarding the sale and promotion of products. This includes adhering to any bans or restrictions imposed by government administrations.
